Liike Workspace SaaS Terms V1.0 Revision 3.5
Effective status: Final Candidate - Legal Review; not active until approved and published
1. Parties, Scope and Incorporation
These Workspace SaaS Terms govern the B2B Liike Workspace self-service SaaS subscription between Liike Digital Oy, Business ID 3612672-1, Finnish VAT ID FI36126721, Finland, and the verified business Customer identified in the accepted checkout record. The accepted Liike Workspace Plan Specification V1.0 Revision 3 and Liike Workspace Refund and Cancellation Policy V1.0 Revision 5 are incorporated into the Workspace agreement. The Liike Workspace Privacy Notice is provided as a data-protection transparency notice and is acknowledged by the Customer; it is not incorporated as a contractual term. Where applicable, a DPA is incorporated and becomes effective only as provided in Section 15.
2. Eligibility and B2B-Only Use
Liike Workspace is supplied only for business use. The Customer confirms that the subscription is purchased exclusively for the verified business purposes of the identified Customer and that the accepting representative is authorized to bind that Customer.
3. Payment Method and Seller
The price is EUR 299 per monthly Subscription Period, plus applicable taxes. Liike Digital collects Workspace payments through Shopify Payments using an individual Shopify draft-order payment link or other Shopify-hosted payment link for each Subscription Period. Liike Digital is the supplier of Workspace. Any formal invoice required for the transaction will be issued separately in accordance with applicable law and Liike Digital's invoicing process. Payment-provider records, payment status and Subscription-Period dates are transaction records and do not expand the purchased entitlement.
4. Subscription Periods, Future Payments, Cancellation and Non-Payment
Workspace is provided in separately paid monthly Subscription Periods. A new Subscription Period begins only when Liike Digital has successfully received and verified the applicable EUR 299 payment, plus applicable taxes. Liike may send an invitation or payment link for a future Subscription Period before the current paid Subscription Period ends. An unpaid payment link does not create a paid Subscription Period, Workspace entitlement, automatic renewal, automatic charge, or obligation to pay for a future period.
No automatic charge will be made for a future Subscription Period. The Customer may decline a future payment link or ask Liike to stop sending future payment links by emailing support@liikedigital.fi from its recorded business email. This does not cancel or refund an already-paid Subscription Period. Refunds or service remedies remain governed by the Refund and Cancellation Policy and any non-excludable applicable law.
If payment for a future Subscription Period is not successfully received by the end of the current paid Subscription Period, normal paid Workspace functionality ends at that time. Liike will then provide a seven-calendar-day grace period with restricted access limited to account, billing, cancellation, and legal-document functions. The grace period does not create a new paid Subscription Period and does not permit new Audits, reports, integrations, quota consumption, or other paid operational functionality. After the grace period ends, the Customer receives the limited read-only and export-access window stated in the Refund and Cancellation Policy.
5. Plan Specification
The purchased entitlement is defined by the accepted Liike Workspace Plan Specification V1.0. Liike shall not rely on disclaimers, third-party availability language or operational descriptions to remove the express paid entitlement stated in the Plan Specification, subject to the remedies, limits and exclusions expressly stated in these Terms and incorporated policies.
6. Authorized Users and Credentials
The subscription supports one Owner and up to two Members. The Owner is responsible for invitations, removals, authorized use and ensuring that all users act for the verified Customer. Credentials must not be shared outside authorized users. Seat sharing, account pooling or use to provide service to another business, brand or website is not permitted.
7. Acceptable Use
The Customer and its users must not use Workspace unlawfully, circumvent quotas or access controls, attempt to access another customer's data, scrape or automate abuse where prohibited, interfere with the service, probe or attack security, introduce malicious code, or reverse engineer the service except to the extent such restriction is not permitted by applicable law. Ordinary legitimate use within the Plan Specification is permitted.
8. Customer Responsibilities
The Customer is responsible for accurate account, business, billing and website information; maintaining access to its systems and connected services; obtaining authority for connected accounts; reviewing outputs before relying on them; securing its users' devices and credentials; and promptly notifying Liike of suspected account compromise or unauthorized use.
9. Intellectual Property
Liike and its licensors retain ownership of the Workspace software, platform, code, design, user interface, models, processes, Liike documentation, know-how and Liike-created platform intellectual property. Except for the limited licence expressly granted in these Terms, no Liike intellectual property is transferred to the Customer.
10. Limited Customer Licence
Subject to payment and compliance with these Terms, Liike grants the Customer a limited, non-exclusive, non-transferable, revocable right for authorized users to access and use Workspace during the active Subscription Period for the Customer's internal business purposes within the Plan Specification.
11. Customer Data
The Customer retains ownership and control of Customer Data, customer materials, customer business data and connected-account data, subject to third-party rights and provider terms. Customer Data means data, materials, website information, integration data, account information and content supplied by or on behalf of the Customer or obtained from Customer-authorized connected systems.
12. Customer Licence to Liike
The Customer grants Liike a limited licence to host, process, analyse, transmit, display, secure, support and operate Customer Data only as necessary to provide, maintain, secure, support and improve Workspace, administer the subscription, comply with law, and exercise Liike's rights under these Terms. This licence does not permit unrelated commercial exploitation of Customer Data or use of Customer Personal Data to develop or improve Workspace except on the Customer’s documented instructions or through aggregated or de-identified data that no longer identifies the Customer or any individual.
13. Confidentiality
Each party must protect the other's confidential business information, including Customer Data where confidential, security information, non-public technical information, non-public commercial information and information reasonably understood to be confidential. Confidentiality obligations do not apply to information that becomes public without breach, was already lawfully known, is independently developed without use of confidential information, is lawfully received from a third party, or must be disclosed by law, provided the receiving party gives notice where legally permitted.
14. Third-Party Services and Dependencies
Workspace may depend on third-party services such as Shopify, Supabase, Vercel, Resend, SEOptimer and optional Google services. Third-party outages, provider changes, API limits or customer-side permission failures may affect features. Liike remains responsible for the express Workspace entitlement and remedies stated in the Plan Specification and Refund and Cancellation Policy, but does not control third-party terms, systems or availability.
15. Privacy and DPA
Where Liike processes Customer Personal Data on the Customer’s behalf, the DPA version recorded in the Customer’s processor-processing activation record is incorporated into these Terms and becomes effective before that processor processing begins. Liike shall not activate a processor-dependent integration until that condition is satisfied.
16. Security
Liike uses reasonable technical and organizational measures appropriate for a B2B self-service SaaS service, including authenticated access, authorization controls, private storage where applicable, logging, operational controls and measures against unauthorized access. The Customer remains responsible for its own systems, credentials, devices and connected-account permissions.
17. Suspension
Liike may suspend or restrict access where reasonably necessary because of material breach, unlawful use, security risk, abuse, attempted unauthorized access, non-payment where permitted, or use outside the Plan Specification. Suspension should be proportionate where practicable and does not remove access to billing, cancellation and legal-document controls where such access is legally or operationally required.
18. Termination
Either party may terminate according to these Terms, the Refund and Cancellation Policy, or applicable law. Liike may terminate for material breach not cured within a reasonable period after notice, immediate serious security or unlawful-use risk, or continued non-payment after the failed-payment grace period. Termination does not affect accrued payment obligations, legal records, confidentiality, liability provisions or provisions intended to survive.
19. Disclaimers and No Guarantees
Workspace is provided as B2B self-service software. Liike does not guarantee rankings, traffic, leads, sales, revenue, conversions, compliance, security, marketing results or other commercial outcomes. Workspace includes no managed marketing, professional implementation, Liike specialist hours, guaranteed human or expert review, contractual AI allowance, scheduled monitoring or numeric uptime SLA. This clause does not negate the express purchased Workspace entitlement in the Plan Specification.
20. Liability Exclusions
To the extent permitted by applicable law, neither party is liable for indirect, consequential or special loss, loss of profits, revenue, business opportunity, goodwill, anticipated savings, data loss caused by the other party or third-party systems, or similar indirect or consequential damages, whether arising in contract, tort or otherwise. This clause does not exclude payment obligations or liability that cannot lawfully be excluded.
21. Aggregate Liability Cap
Subject to Section 22, Liike Digital's aggregate liability arising out of or relating to the Workspace agreement shall be limited to the total Workspace subscription fees actually paid by the Customer during the twelve (12) Subscription Periods immediately preceding the event giving rise to the claim. If fewer than twelve (12) Subscription Periods have been paid, the cap is the Workspace subscription fees actually paid during those preceding paid Subscription Periods.
22. Liability Carve-Outs
The exclusions and limitations of liability do not apply to Liike's wilful misconduct, gross negligence, or liability that cannot lawfully be excluded or limited under applicable law. Nothing in these Terms limits the Customer's obligation to pay undisputed subscription fees due for the service.
23. Tax and Payment-Provider Treatment
Taxes, formal invoices, payment status, chargebacks, refunds and Subscription-Period records may be administered through Shopify or Liike Digital's invoicing process according to the applicable setup. The Customer is responsible for providing accurate business, billing, tax and location information. Payment-link, payment-provider and invoice records control transaction-specific facts such as paid amount, currency, payment timestamp and Subscription Period, but do not amend these Terms unless expressly incorporated.
24. Notices
Operational notices may be provided through the Workspace, account email, billing email, provider notification or another reasonable electronic method. Legal notices must be sent to the party's registered or notified business address or other expressly designated legal notice channel where available.
25. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including serious Internet or hosting disruption, third-party provider outage, labour dispute, government action, natural disaster, war, terrorism, civil disturbance, epidemic, power failure or other similar event, provided the affected party uses reasonable efforts to mitigate the effect.
26. Assignment
The Customer may not assign or transfer the subscription or these Terms without Liike's prior written consent, except to a successor in connection with a genuine reorganization or sale of substantially all relevant business assets where the successor remains the same verified legal business or is approved by Liike. Liike may assign these Terms in connection with reorganization, merger, sale of business or transfer of the Workspace service, provided customer rights are not materially reduced.
27. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The invalid or unenforceable provision will be replaced or interpreted, to the extent legally permitted, to achieve its commercial purpose as closely as possible.
28. Waiver
A failure or delay in enforcing a provision is not a waiver. A waiver is effective only if made expressly and does not waive any later breach or other right.
29. Entire Agreement
These Terms, the accepted Plan Specification, the accepted Refund and Cancellation Policy, any effective DPA, accepted checkout evidence and transaction records form the entire agreement for Liike Workspace and replace prior statements about the same subscription, except for an expressly accepted amendment. The Privacy Notice provides data-protection transparency information and does not replace or amend the agreement or an effective DPA.
30. Amendment and Versioning
Each accepted document version has a retained immutable snapshot and canonical contractual-content hash. Re-acceptance is required before material changes to price, billing frequency, core entitlement, quotas, cancellation or refund rights, liability, governing law, DPA processing scope or other material customer rights. A future price increase requires at least 30 calendar days notice and an opportunity to cancel before the new price takes effect. Operational improvements that do not reduce purchased entitlement do not require re-acceptance.
31. Governing Law
These Terms and the Liike Workspace agreement are governed by the laws of Finland, excluding its conflict-of-laws rules.
32. Exclusive Jurisdiction
The courts of Finland have exclusive jurisdiction. The court of first instance is Helsinki District Court.
